Thank you for your interest in participating in Outfit7 Talent Camp (the “Outfit7 Talent Camp”). By applying to Outfit7 Talent Camp you agree to and undertake to be bound by these Outfit7 Talent Camp Terms and Conditions (these “Terms”).

Your application and participation in Outfit7 Talent Camp is subject to these Terms and you hereby represent that you are at least 18 years of age. Please read these Terms carefully as they form an agreement between you and the Company (as defined below).

OUTFIT7 TALENT CAMP TERMS AND CONDITIONS

1. Definitions.

“Company” means Ekipa2 d.o.o., Ameriška ulica 8, 1000 Ljubljana, which is organising the Outfit7 Talent Camp event, and any of its affiliates and related entities (including, without limitation, Outfit7 Limited, which ordered the Outfit7 Talent Camp event from Ekipa2 d.o.o.).

“Outfit7 Talent Camp” means an industry event aimed at prospective talent that will take place in Kristalna palača, Ameriška ulica 8, 1000 Ljubljana, Republic of Slovenia, between 4th and 7th of July 2019, where Participants (as defined below) will present their experience and skills, learn some new insights into the mobile applications development industry and engage in networking.

“Applicant” means any natural person who applies to the Outfit7 Talent Camp event by submitting an application in accordance with these Terms.

“Participant” means any person that is selected by the Company and further signs the Talent Camp Participation Agreement with the Company and attends the Outfit7 Talent Camp.

“Confidential Information” means any non-public information that relates to the actual or anticipated business or research and development of the Company, technical data, trade secrets or know-how, including, but not limited to, research, product plans or other information regarding the Company’s products or services and markets, customer lists and customers, personal data, software, developments, inventions, processes, formulas, technology, designs, drawings, engineering, hardware configuration information, marketing, finances or other business information. Confidential Information does not include information that (i) is known to the Participant at the time of disclosure to the Participant by the Company as evidenced by written records of the Participant, (ii) has become publicly known and made generally available through no wrongful act of the Participant or (iii) has been rightfully received by the Participant from a third party who is authorized to make such disclosure.

“Intellectual Property” means patents, rights to Inventions, copyright and related rights, trademarks, trade names and domain names, semi-conductor topography rights, rights in get-up, rights in goodwill or to sue for passing off, rights in designs, rights in computer software, database rights, rights in confidential information (including know-how and trade secrets) and any other intellectual property rights, in each case whether registered or unregistered and including all applications (or rights to apply) for, and renewals or extensions of such rights and all similar or equivalent rights or forms of protection which may now or in the future subsist in any part of the world, owned or licensed by the Company; “Inventions” means inventions, ideas and improvements, whether or not patentable, and whether or not recorded in any medium owned or licensed by the Company.

2. General information.

Any natural person can apply to participate on the Outfit7 Talent Camp by submitting an application on https://outfit7.com/talent-camp/.

There is no entry fee to apply. Closing time for submitting your application will be June 1o, 2019. After this closing time the application form may no longer be available or the Company may, at its own discretion, disregard late applications.

The Applicant is aware that the Company does not offer any payment, compensation, reimbursement of out-of-pocket expenses, reward, cash or prize for participation in the Outfit7 Talent Camp. The Company may at its sole discretion decide to arrange accommodation or reimburse (part of) travelling expenses incurred by the Participant when participating in the Outfit7 Talent Camp. The Company is under no binding obligation to reimburse any expenses to any Participant.

The Applicant represents and warrants that (i) he/she is at least 18 years of age and (ii) he/she will attend the Outfit7 Talent Camp event at his/her own risk and (iii) he/she will follow the instructions received by the Company and (vi) the information supplied within his/her application is true and correct and (v) he/she has a valid passport or other identity document and (iii)he/she is solely responsible and will obtain all necessary documents and permits that allow him/her to travel and stay in Slovenia, for the duration of the Outfit7 Talent Camp and upon request present a copy to the Company.

The Applicant may only apply as an individual; any group entries may be eligible for rejection. The Company will from among all complete and timely applications (at the Company’s sole discretion) select individuals that will be invited to participate in the Outfit7 Talent Camp event (i.e. to sign the Talent Camp Participation Agreement and attend the Outfit7 Talent Camp). Participants will be chosen by the Company or independent adjudicator(s) appointed by the Company. The Company’s decision on the selection is final and an Applicant not selected has no right to appeal or recourse on the selection process. The Company shall be in no event obliged to enter into the Talent Camp Participation Agreement with any Applicant.

3. Confidentiality.

The Participant will not, during or subsequent to the duration of Outfit7 Talent Camp, (i) use Confidential Information for any purpose whatsoever (for the Participant’s own benefit or the benefit of a third party) other than for participation in activities during the Outfit7 Talent Camp; or (ii) disclose Confidential Information to any third party or (iii) abandon due standard of care and therewith enable any person, firm, corporation or other entity to get access to any Confidential Information that the Participant obtains, accesses, or creates during participation in Outfit7 Talent Camp. The Participant agrees that Confidential Information will remain the sole property of the Company. The Participant also agrees to take all reasonable precautions to prevent any unauthorized disclosure of Confidential Information.
The Participant recognizes that the Company has received and in the future will receive from third parties their confidential or proprietary information subject to a duty on the Company’s part to maintain the confidentiality of such information and to use it only for certain limited purposes. The Participant agrees that, during participation in Outfit7 Talent Camp and thereafter, the Participant owes the Company and such third parties a duty to hold all such confidential or proprietary information in the strictest confidence and not to disclose it to any person, firm or corporation or to use it except as necessary in carrying out activities during the Outfit7 Talent Camp.

The Applicant/the Participant shall not acquire any right under these Terms to use, and shall not use, the names “Outfit7,” “Talking Friends”, “Talking Tom and Friends” or the name of any other Company affiliate (either alone or in conjunction with or as a part of any other word or name) or any fanciful characters or designs of the Company.

4. Equipment and Premises.

The Participant will need to bring his/her own equipment to the Outfit7 Talent Camp event (including, without limitation, computer, software or such other equipment) (collectively: Equipment) in order to actively participate in the Outfit7 Talent Camp event. The Company shall not be obliged to provide any equipment to the Participant. The Participant undertakes to use solely licensed software, which is registered in his/her name, for all work performed and products, results and proceeds created within the course of or in relation to the Outfit7 Talent Camp event.
The Participant agrees to use the premises and property of the Company with due diligence and will at all times comply with and respect the policies (including, without limitations, safety and house rules) of the Company (or other third person on the part of the Company) that regulate use of premises and property as may be presented to the Participant prior to or during the Outfit7 Talent Camp event.
Upon the termination of the Outfit7 Talent Camp, or upon the Company’s earlier request, the Participant will deliver to the Company all of the Company’s property, including but not limited to all electronically stored information and passwords or cards to access the Company’s property, or Confidential Information, that the Participant may have in the Participant’s possession or control during the Outfit7 Talent Camp.

5. Intellectual Property Rights / Work Assignment.

The Participant shall during the course of Outfit7 Talent Camp create works to be submitted by the Participant to the Company, including, without limitation, all works and creations done and to be done in connection with the Outfit7 Talent Camp or during its duration. (All such materials created by the Participant and all drafts, outlines, and other preparatory materials shall collectively be called the “Work” herein). The Participant warrants and represents that the Work shall be original to the Participant and shall not infringe the rights of any third parties, and that the Company has the exclusive rights forever and throughout the universe to exploit the Work and the results and proceeds of the Participant’s services rendered in connection therewith.

The Participant hereby assigns and transfers in whole to the Company, all right, title, and interest in and to such Work and the results and proceeds thereof to the extent that Participant has, had, or will have any interest therein, including without limitation, all copyrights and renewals and extensions of copyright therein and all other intellectual property rights.

The Work may be registered for copyright in the name of the Company, and the Company shall own and possess all physical material in which or on which the Work is embodied or reproduced, by or on behalf of the Participant. The Company shall have the exclusive right forever throughout the universe to change, adapt, modify, use, combine with other material, and otherwise exploit the Work in all media and by all means, whether now known or hereafter invented or developed. The Participant hereby waives any and all claims that the Participant may have now or may hereafter have in any jurisdiction to so-called “moral rights” or “droit moral” with respect to the Work, and to the results and proceeds thereof. When requested by the Company, the Participant shall perform all such acts and things and sign all documents and certificates which the Company may reasonably request.

6. Privacy.

Prior to submitting your application, please read the Outfit7 Talent Camp Privacy Policy carefully to understand how and why your personal data will be used, namely for the purposes of processing your application and your participation on the Outfit7 Talent Camp, as well as for the promotion of this event and other Company events, and how long it will be retained for. It provides you with certain information that must be provided under the General Data Protection Regulation ((EU) 2016/679) (GDPR) and laws implementing or supplementing the GDPR.

7. Video and Photo Processing

You are hereby informed that during the Outfit7 Talent Camp event the Company may record your image, voice, appearance and performance by video and photo camera and further use such recordings and/or images (together with your first and last name) for public display and broadcast, including, without limitation, on television and the world wide web, or other media now known or later developed, for the purpose of promotion of this and future Outfit7 events and Outfit7 brand.

You hereby agree that the Company shall have complete ownership of the video and images in which you appear on the Outfit7 Talent Camp event, including copyright interests, and expressly waive any and all claims regarding the use of your image, voice, appearance and performance.

We will process recordings and/or images of you in accordance with the Outfit7 Talent Camp Privacy Policy. If you wish to opt out of such processing, please write to us on the email address gdpr@outfit7.com prior to the start of the Outfit7 Talent Camp event and further wear a brightly-coloured lanyard during the Outfit7 Talent Camp event so we can cut you out of the recordings and/or images before those are published and/or stored on file.

8. Indemnification and Liability Release.

The Participant agrees to indemnify and hold harmless the Company and its directors, officers and employees from and against all taxes, losses, damages, liabilities, costs and expenses, including attorneys’ fees and other legal expenses, arising directly or indirectly from or in connection with any reckless or intentionally wrongful act of the Participant and any breach by the Participant of any of the covenants contained in these Terms.

The Participant is aware and understands that participation in the Outfit7 Talent Camp may involve a risk of injury that cannot be eliminated regardless of the Company’s degree of diligence. The Participant hereby voluntarily assumes all risks associated with participation and agrees to exonerate and save harmless the Company and its directors, officers, and employees from and against all taxes, losses, damages, liabilities, costs and expenses, including attorneys’ fees and other legal expenses, which may arise from or in connection with participation in any activities related to the Outfit7 Talent Camp, whether or not foreseeable, to the fullest extent permissible by applicable law. Moreover, by agreeing to these Terms the Participant waives any and all claims for compensation that would arise or originate from his/her participation at the Outfit7 Talent Camp and related activities.

9. Publicity.

The Participant shall not directly or indirectly issue any press release or any other publicity regarding, or make any public statements concerning the Company (excluding posts on social media profiles according to Art 8), or any other matters regarding his/her participation in the Outfit7 Talent Camp without prior coordination with and approval by the Company, which may be granted or withheld at the Company’s sole discretion.

10. Social Media Guidelines.

The Participant may publish posts in all forms of social media, including Facebook, LinkedIn, Twitter, Google+, Wikipedia, Whisper, Instagram, Vine, Tumblr and all other social networking sites, Internet postings and blogs.

The Participant must avoid making any social media communications that could damage the Company’s business interests or reputation, even indirectly; or defame or disparage the Company, the Company’s staff or any third party; or harass, bully or unlawfully discriminate against staff or third parties. Further the Participant shall not make any false or misleading statements; or impersonate colleagues or third parties.

The Participant shall not express opinions on the Company’s behalf via social media. The Participant must not post comments about sensitive business-related topics, such as the Company’s performance, or do anything to jeopardize the Company’s trade secrets, Confidential Information and Intellectual Property.

The Participant will make it clear in social media postings, or in his/her personal profile, that he/she is speaking on his/her own behalf. The Participant will write in the first person and use his/her personal email address.

The Participant has to be respectful to others when making any statement on social media and be aware that he/she is personally responsible for all communications which will be published on the Internet for anyone to see.

The Participant may be required to remove any social media content that the Company considers to constitute a breach of this Guidelines.

11. Miscellaneous.

The Company reserves the right to change dates, duration, location or concept of the Outfit7 Talent Camp event, or modify or cancel the event entirely, and amend these Terms without prior notice. Any changes will be notified to the Applicant/Participant as soon as possible by the Company. In such case, the Applicant/Participant shall not be entitled to claim compensation for any costs and/or loss or damage incurred.

These Terms, and the relationship established hereunder, shall be interpreted and construed in accordance with the laws of Cyprus, without regard to its principles of conflicts of laws, and with the same force and effect as if fully executed and performed therein. The relationship established hereunder in no event represents candidacy for employment, employment relationship or any such engagement with the Company.

If any clause or provision of these Terms is or becomes illegal, invalid or unenforceable, such clause or provision shall be severed and the remaining provisions of these Terms shall continue in full force and effect. Parties consent to exclusive jurisdiction of Cyprus courts.
