Outfit7 Limited Software and Communications System Usage Policy

POLICY PURPOSE
The purpose of the Outfit7 Limited or its Subsidiaries (hereinafter “Outfit7”) Software Usage and communications system Policy (hereinafter “Policy”) is to ensure that Outfit7’s employees, contractors, temporary workers, volunteers and others that operate Outfit7-owned devices are properly trained on appropriate procedures surrounding safe and legal use of company-owned software. Furthermore, this Policy is intended to discourage inadvertent (or deliberate) violations of the terms of our organization’s software license agreements and applicable laws when installing and/or using software on devices (i.e. s, servers, PDAs, smartphones, tablets and other computing devices operating within Outfit7) owned by Outfit7 or private devices used to perform work related to Outfit7.
BACKGROUND
Outfit7 purchases and licenses software from a variety of sources. Any duplication of software except as permitted by related license agreements is a violation of applicable law and is therefore prohibited.
Installing unauthorized software on a device system, workstation, or network server within Outfit7 can lead to potential system failures, system degradation or viruses. Unauthorized installations also place Outfit7 and its employees at risk for civil and criminal action, which can result in punitive measures imposed on all involved parties. The installation of unauthorized or illegal software carries civil fines, criminal penalties and/or jail sentence.
Outfit7 employees that use device systems for work-related purposes must therefore agree to the following conditions for the use of software:
- To purchase, install, and/or use only software that has been authorized for use on Outfit7 devices.
- To obtain proper documentation for all work-related software purchases.
- To abide by the terms of all license agreements as they pertain to the use of software on Outfit7-issued devices, as well as on “at home” or personal device systems used for Outfit7-related work.
- Not to reproduce or duplicate software, in any way, except as provided by the license agreement between Outfit7 and the software manufacturer.
SOFTWARE USAGE POLICY
- 1. Authorized Software
Only software authorized by legal department of Outfit7 may be purchased, installed, or used on Outfit7-issued devices.
Personal software, or software that an employee has acquired for non-business purposes, may not be installed on Outfit7-issued devices. The only software permitted for installation on Outfit7 devices is authorized software for which Outfit7 has been granted a license.
- 2. Software Purchases
If you wish to purchase an authorized application, the following procedures must be adhered to:
- A copy of the software license must be provided to legal department
- Licenses must be registered in the name of Outfit7 and not in the name of an individual end-user.
- Software for Outfit7 owned mobile devices bought from the official online stores for mobile apps applications are excluded from this provision and user is allowed to install them without prior approval from legal department and use it for non-business purposes. In no case any form of privilege escalation (including, but not limited to jailbreaking iOS platform) is allowed on Outfit7 owned mobile devices.
- 3. Duplication of Licenses
Software shall not be duplicated, reproduced, or installed on more than one machine without prior written authorization by your manager. *
If Outfit7 already owns license for commercial use, and user owns software license that is eligible and approved for home use**, the following conditions must be adhered to:
- Use of the software is limited to Outfit7 business.
- The software must be removed from the device if Outfit7 no longer employs or terminates services agreement to the individual.
- Most software is licensed for use on one device at a time with a provision for making a single backup copy of the software, but in order to protect individual employees and Outfit7, written consent to do so must be obtained by legal department. ** Most software licensed to Outfit7 cannot be run on home and work devices simultaneously. Some software vendors, however, permit employees, who are licensed to use the product at on work-issued devices and on a “home” device under certain limited conditions. Outfit7 has no specific policies prohibiting such use, assuming it is permitted under the terms of the license agreement.
- 4. **Retirement or Transfer of Licenses**
The following rules apply when a license or licenses are replaced by newer versions or are being transferred from one user to another:
- Licenses may not be uninstalled from one user’s machine and re-installed on another user’s machine without written permission from legal department**.**
- All software and documentation for releases or versions that have been replaced by newer versions are to be returned promptly to IT department.
- All software and documentation for those products no longer required should be returned promptly to IT department and the software must be uninstalled promptly from the device.
- In most cases, software licenses are not transferable without prior authorization from the vendor. This is especially important as it relates to the disposition of previous releases and the disposition of software licenses that have been upgraded. For example, it is almost always a violation of the license agreement to give anyone an older version of Microsoft Windows after receiving a Microsoft Windows upgrade. Even if a new license (not an upgrade) has been obtained, it may be still be a violation of the license agreement to give the old copy to another person. Under some conditions, Outfit7 may have rights to transfer software from one user to another. Legal department will review license agreements and limitations for each software product, and if appropriate, authorize acceptable transfers of licenses.
- 5. Prohibited Software or Data
The Outfit7’s devices users are prohibited from installing or copying any software programs and applications other than those expressly approved.
Under no circumstances are users to download, install, copy, access, execute or otherwise employ on any device owned by Outfit7 any of the following:
- ** **Illegal software or programs.
- Unlicensed applications.
- Unapproved or unlicensed operating systems.
- Pirated software
- Files that are infringing any intellectual property (i.e. illegally copied moving pictures, music files, etc.).
- 6. Inappropriate Use of Company It Resources and Communications Systems
Users are never permitted to use the company’s IT resources and communications systems, including e-mail, text messaging, Internet access, social media, telephones and voicemail, for any unlawful purpose. This includes but is not limited to:
- Misrepresenting yourself as another individual or company.
- Sending, posting, recording or encouraging receipt of messages or information that may be illegal because of their sexual, racist, or religious content.
- Conducting or soliciting illegal activities.
- Interfering with the performance of user job or the jobs of other employees or contractor of Outfit7.
- For any other purpose that violates policies or practices of Outfit7.
MONITORING
To ensure adherence to the Policy and related federal laws and statutes, Outfit7 reserves the right to monitor software installations and usage all devices owned by Outfit7, as well as any privately-owned devices when used to conduct Outfit7-related business.
SIGNED AGREEMENT
There are no exceptions to this Policy. Any employee found violating this Policy in any manner is subject to disciplinary action (in conformance with Outfit7 disciplinary policies) including possible termination of employment, and/or legal action. Everybody that has signed employee agreement, business cooperation agreement or services agreement with Outfit7 is deemed to have agreed to this Policy.
This Policy is valid from April 2015.
